8.3 Third-Party Services
Syntek is not responsible for the performance, availability, or terms of third-party services (hosting providers, domain registrars, payment processors, etc.) recommended or integrated into Client projects.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project. This includes business strategies, technical specifications, pricing information, and any information marked as confidential.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Termination
Termination provisions, including notice periods, grounds for termination, and effects of termination, are defined in individual client contracts. Generally, either party may terminate with written notice, and the Client shall pay for all work completed up to the date of termination.
Sections relating to intellectual property, confidentiality, limitation of liability, and dispute resolution survive termination.
11. Force Majeure
Syntek shall not be liable for any failure or delay in performing obligations due to circumstances beyond reasonable control, including but not limited to:
- Natural disasters, severe weather, or acts of God

- Strikes, labour disputes, or supply chain disruptions
In such events, Syntek will make reasonable efforts to resume performance as soon as practicable.
12. Dispute Resolution
In the event of any dispute arising from these Terms or services provided by Syntek, the parties agree to the following resolution process:
12.1 Step 1: Direct Negotiation
The parties shall first attempt to resolve the dispute through direct communication and good faith negotiation within 14 days of the dispute arising.
12.2 Step 2: Mediation
If direct negotiation fails, the parties agree to submit the dispute to mediation before an independent mediator agreed upon by both parties. The costs of mediation shall be shared equally unless otherwise agreed.
12.3 Step 3: Arbitration
If mediation fails to resolve the dispute within 30 days, the parties agree to submit the dispute to binding arbitration in accordance with the Arbitration Act 1996. The arbitration shall be conducted by a single arbitrator agreed upon by both parties, or appointed by the Chartered Institute of Arbitrators. The arbitrator's decision shall be final and binding.
12.4 Step 4: Court Proceedings
Either party may appeal the arbitration decision through the courts of England and Wales in accordance with the Arbitration Act 1996. Any court proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
